The following terms and conditions constitute a legally binding and enforceable agreement between the Company and the User regarding the use of the Services provided by the websites named Voicebot360.ai and/or Applications and/or Email addresses (hereinafter referred to as the “Platform”) owned by the Company. Please carefully read and understand these terms and conditions before accessing the Platform’s Services. By agreeing to these terms, you are bound by all the terms and conditions and existing Agreements of the Company. Any activity inconsistent with these terms and conditions may result in the termination of your current access and future access restrictions.

2. Company:

   Refers to Voicebot360, Inc.

3. Services:

   Refers to access to various resources on the Platform, including documentation, product information, downloads, developer tools, sample code, and API information.

4. User/Users/you

   :Refers to any person visiting the Platform.

5. User Information

   :Refers to anything User/you post, upload, share, store, or provide through the Services.

6. Platform:

   Refers to the websites named Voicebot360.ai and/or Applications and/or Email Addresses of the Company and Voicebot360

APPLICABLE LAWS AND JURISDICTION

These Terms and Conditions will be governed by and construed in accordance with the laws of the United States of America. The courts in the State of Delaware, USA, shall have exclusive jurisdiction over any dispute or issue arising from the use of the Platform’s services.

ELIGIBILITY:

1. Users accessing the Platform’s Services should be 18 years of age and competent to enter into a legally binding contract and not disqualified by any existing law.
2. Individuals below the age of 18 may use the Services under the guidance and supervision of parents or legal guardians using a registered account on the Platform.

PRIVACY POLICY:

Please refer to the Privacy Policy for information on how your data is collected and used. By using the Platform, you consent to the processing of your information in accordance with the Privacy Policy.

PURPOSE:

The Company aims to provide the most accessible, affordable, and convenient Platform for developers, individuals, companies, and agencies to build, host, and manage Chatbots.

ACCESS SECURITY AND PASSWORD:

1. Users may be required to sign up for an account, log in through a third-party account, and select a password and username. Accurate and updated registration information must be provided.
2. All transactions on the Platform will be secured and protected, and user information will be encrypted and not disclosed to third parties.
3. Users may be asked to change passwords periodically for better data protection.
4. Users must take adequate steps to prevent unauthorized access to their personal information.
5. Services are for personal, non-commercial use, and must comply with applicable laws. Unauthorized use is prohibited.

RIGHT OF THE COMPANY OVER USER INFORMATION:

1. By accepting these terms and conditions, users agree to grant the Company ownership of all copyright and other Intellectual Property Rights over the information provided by them.
2. User Information posted, uploaded, shared, or transmitted through the Services becomes the property of the Company. The Company may use, modify, reproduce, or display such User Information.

PROHIBITED ACTIONS OF THE USER:

2. Using information provided by the Platform for unlawful or fraudulent purposes.
3. Infringing on the Intellectual Property Rights of the Company or any listed entity on the Platform.
4. Attempting to reverse engineer or disrupt the Platform’s functioning.
5. Replicating the Services or developing similar competing products.
6. Interfering with the proper functioning of the Platform or disobeying network regulations.
7. Engaging in activities that threaten the Platform’s safety and security.
8. Transmitting viruses or harmful components to the Platform’s system.
9. Reselling or assigning rights or obligations under these Terms and Conditions.
10. Uploading offensive, defamatory, or harmful content.
11. Uploading content expressing bigotry, racism, or hatred based on various factors.
12. Uploading obscene or pornographic content.
13. Uploading information in contravention of the Information Technology Act, 2000, and related regulations.
14. Engaging in activities that threaten national unity, security, or public order.
15. Violating any terms and conditions, leading to termination or suspension of Services by the Company.

ADVERTISEMENTS AND PROMOTIONS

The Company may run advertisements and promotions from third parties on the Platform. User dealings with advertisers other than the Company are solely between the User and the advertiser, and the Company is not responsible for such dealings.

INTELLECTUAL PROPERTY RIGHTS:

1. The Service and its original content are the exclusive property of the Company and its licensors, protected by copyright and trademark laws.
2. Users have no right to use trademarks, trade names, or brand features of the Company.
3. All logos, trademarks, and other intellectual property belong exclusively to the Company.

 PROTECTION

Users agree to indemnify and hold the Company, its subsidiaries, affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorney’s fees, arising from User content or use of the Service.

 CONFIDENTIALITY:

Users must maintain confidentiality of all financial, commercial, operational, and technical information received from the Company. Disclosure to third parties is prohibited without prior written permission.

 MODIFICATIONS TO SERVICE:

The Company may modify or discontinue the Service with or without notice, and shall not be liable for any such changes.

MODIFICATION:

The Company reserves the right to modify or terminate the Platform’s Services without notice. Users agree to review the Terms and Conditions regularly for any changes.

 FORCE MAJEURE:

The Company shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, constituting a Force Majeure Event.

 ENTIRE AGREEMENT:

These Terms and Conditions constitute the entire agreement between Users and the Company, superseding all prior understandings.
